User Agreement - Writewis

INTRODUCTION
This User Agreement (“Agreement”) is entered into between WRITEWIS, hereafter referred
to as We, and BestMarket.
This Agreement outlines the terms of use related to our services and products.
SERVICES AND PRODUCTS
We will provide services and/or products as detailed in Exhibit A, attached hereto.
PAYMENT
You will pay us for the services and products as detailed in Exhibit B, attached hereto.
DATA PRIVACY
a) Data Collection: We will only collect the data necessary for delivering our services and products.
b) Data Storage: All data will be stored securely, with appropriate safeguards in place.
c) Data Sharing: We will not share your data with any third party unless required by law or with your
explicit consent.
d) Data Rights: You retain all rights to your data. At your request, we will delete or return all copies of
your data.
LIABILITY
a) Limitation: Our total liability under this Agreement, whether arising from breach of contract,
negligence, or any other cause, will be limited to the amount you have paid us in the 12 months
preceding the claim.
b) Exclusions: We will not be liable for any indirect, consequential, or special damages, including lost
profits, lost revenue, or lost data.
c) Indemnity: You will indemnify us against any claims, damages, losses, and costs arising out of your
breach of this Agreement or your misuse of our services and products.
INTELLECTUAL PROPERTY
All intellectual property rights related to our services and products remain with us. Any rights not
expressly granted in this Agreement are reserved.
TERMINATION
Either party may terminate this Agreement with 30 days written notice. Upon termination, you will pay
for all services and products delivered up to the date of termination.
GOVERNING LAW AND JURISDICTION
This Agreement will be governed by and interpreted in accordance with the laws of [New York,
Delaware,. Any disputes arising from this Agreement will
be resolved .
MISCELLANEOUS
a) Entire Agreement: This Agreement constitutes the entire agreement between the parties and
supersedes all prior understandings, written or oral, relating to its subject matter.
b) Amendments: No modification of this Agreement will be valid unless in writing and signed by both
parties.
c) No Waiver: A delay or omission by either party to exercise any right under this Agreement will not be
considered a waiver of that right.
